Erste Group Widens Polish Footprint With Fund Stake and Buyout Bid as Earnings Surge
Published on 11/06/2026 at 02:20 | Editorial boerse-global.deErste Group is deepening its presence in Poland on two fronts at once. The Vienna-based lender has joined a state-backed fund-of-funds programme targeting growth companies, while simultaneously pressing ahead with a voluntary takeover offer for shares in its Polish subsidiary. The twin moves come just days after the bank lifted its full-year guidance on the back of a record quarter.
Anchor investor in Innovate PL FoF
Alongside Erste Bank Polska, the group is taking a stake in the Innovate PL FoF vehicle, a transaction announced today that is designed to widen access to capital for innovative, fast-growing Polish firms. The two Erste entities will become the first private, listed banks to participate in the fund. Together with other backers, capital commitments to the fund-of-funds are set to climb to just under PLN 3bn, lifting the total volume of the broader Innovate Poland programme to PLN 4.5bn.
The structure differs from buying directly into individual companies. Managed by PFR Ventures, the fund-of-funds allocates money to other funds, which in turn finance businesses — giving Erste indirect exposure to Polish growth financing rather than a direct stake in any single enterprise.
Erste joins Bank Pekao and PKO Bank Polski in the new investor group. The three banking groups are together committing PLN 500m, a joint pledge rather than Erste's standalone ticket. The entry also marks the first foreign capital in the programme, whose existing backers include PFR, BGK and PZU.
Should investors sell immediately? Or is it worth buying Erste Bank?
A blended mandate
Allocation is split 60% to private equity, with 20% each earmarked for private debt and venture capital — a mix that combines company stakes, private credit and funding for younger growth firms. Roughly 20 funds are envisaged, six of which have already been accredited, among them AMC, Avallon and Cogito Capital Partners. PFR Ventures is reviewing a further 40 proposals.
For Erste shareholders, the strategic read-across matters more than the headline figures: the programme volumes describe the financing framework shared by all participants, not an earnings contribution to be expected from Erste in the near term.
Record quarter underpins raised outlook
The Polish expansion follows a strong set of numbers. On 30 October, Erste reported third-quarter 2026 net profit of EUR 1,121m, up 24.5% year on year. For the first nine months of 2026, net profit reached EUR 3,095m on the company's own figures. Buoyed by the record quarter, the bank raised its annual guidance about a week ago, now targeting loan volume above EUR 290bn.
Net interest income is expected to grow by more than 6% excluding Erste Bank Polska, while return on tangible equity is guided above 20% and earnings per share are seen rising more than 20%. The stock added 2.2% today, though the company flagged no fresh company-specific catalyst for the move.

Analyst sentiment has followed. Baader Bank upgraded Erste Group from "Reduce" to "Add" yesterday, setting a six-month price target of EUR 128.
Buyout offer targets majority stake
Running in parallel is the voluntary takeover offer for Erste Bank Polska shares, for which the acceptance period has now opened. The offer price stands at around PLN 713 per share. Erste Group is acting as buyer and aims to lift its stake from 49% to above 50%, with a stated ceiling of 75%. Those percentages describe the objective of the transaction rather than a completed increase — the buyer is Erste Group, the target company Erste Bank Polska.
