European Lithium Clears Legal Hurdle as Critical Metals Sets Separate Exchange Terms for Shares and Options
Published on 11/01/2026 at 15:02 | Editorial boerse-global.deEuropean Lithium has locked in the legal footing for its absorption by Critical Metals Corp., but the practical mechanics are still rolling out on a staggered timetable — and the payout differs depending on which security an investor happens to hold.
The scheme covering all issued European Lithium shares and every listed option became legally effective after the company lodged the court orders with ASIC. The Supreme Court of Western Australia had signed off on the arrangements beforehand. Legal effect, however, is not the same as completion: implementation is slated for 5 November, with trading in the new Critical Metals shares on the Nasdaq expected to begin 6 November.
Trading in European Lithium shares and options on the ASX was halted at the close on Tuesday, sidelining both classes of security caught by the deal. That suspension should not be confused with the forthcoming Nasdaq listing of the replacement stock.
Two ratios, two sets of holders
Eligible shareholders are due 0.045 new CRML shares for each EUR share. Critical Metals confirmed on Wednesday that eligible option holders will receive 0.0353158621 new CRML shares per EUR option — a separate entitlement that cannot be read straight off the shareholder ratio.
Should investors sell immediately? Or is it worth buying European Lithium?
The option figure is derived from the 0.045 share exchange ratio applied against a volume-weighted average price of US$7.25 set for the process, with an AUD/USD rate of 0.7021 also feeding into the calculation. Both inputs are fixed reference points rather than live market quotes.
Smaller option holders get a different route entirely. Anyone holding no more than 991 options is classed as a small option holder and will receive the proceeds through a sale facility instead of a share allocation.
Operations run in parallel
Against that backdrop, European Lithium's September quarterly report, published Thursday, put the cash balance at A$296.5 million as of 30 September 2026. The company also reported completed field mapping and sampling at the Leinster project in Ireland, alongside legal steps taken to protect its rights over the Dobra deposit in Ukraine.
European Lithium at a turning point? This analysis reveals what investors need to know now.
Those operational threads sit apart from the transaction itself. For option holders, the immediate focus is the now-fixed conversion entitlement that will determine their stake in Critical Metals once the scheme is implemented — with the progress of the projects a story in its own right.
