European Lithium's ASIC Filing Marks Legal Green Light, but the Clock Still Runs to November
Published on 10/27/2026 at 08:01 | Editorial boerse-global.deEuropean Lithium has crossed the legal finish line — though the money won't move just yet. The company confirmed that its takeover schemes have become effective following lodgement with the Australian Securities and Investments Commission (ASIC), a milestone that triggers a sequence of dates running through early November.
Trading in European Lithium shares and listed options on the ASX was due to be suspended at the close of trading on the day of the announcement. Legal effectiveness, however, is not the same as settlement: the new Critical Metals Corp. shares have yet to be issued.
Two clocks, two sets of holders
Option holders face a deadline that does not match the one awaiting shareholders. Options not exercised by 28 October at 17:00 AWST will be settled on a cashless basis, with no cash outlay required. The record date for entitlements under the schemes falls later, on 29 October at 16:00 AWST — both times quoted in Western Australian standard time, a detail German investors will want to note when mapping the deadlines onto their own calendars.
Critical Metals Corp. is acquiring 100% of European Lithium's issued shares and listed options through two interdependent schemes. Shares and options sit inside the same transaction but travel through separate settlement channels.
Should investors sell immediately? Or is it worth buying European Lithium?
What shareholders receive
The exchange ratio, fixed just over a week ago, hands holders 0.045 new Critical Metals Corp. shares for every European Lithium share they own, subject to rounding. The consideration is stock in the acquirer — not a set cash payment. For shareholders, the record date is only half the story; equally important is the gap between the end of trading in European Lithium stock and the expected debut of the newly issued shares.
The road to November
Implementation, including the issue of the consideration shares, is scheduled for 5 November. Trading in the new Critical Metals Corp. shares on the Nasdaq is expected to begin on 6 November — the same day European Lithium is due to be removed from the ASX official list. The company has flagged these dates as indicative and subject to change.
The legal groundwork was laid by emphatic investor backing. Shareholders approved the deal with 99.96% of votes cast, representing 97.22% of shareholders present and voting. Option holders voted unanimously in favour, and the Supreme Court of Western Australia has since granted its approval to the schemes.
European Lithium at a turning point? This analysis reveals what investors need to know now.
Market snapshot ahead of the switch
European Lithium shares are quoted at EUR 0.2260, up 149% since the start of the year — a run that values the company at EUR 417.08 million. With completion approaching, attention is shifting to the future Nasdaq listing. For investors, the practical lesson is to keep the deadlines distinct: option exercise, determination of entitlements and delivery of consideration are three separate steps, each with its own date.
