Evonik's interim chief has opened the door to acquisitions in Germany, Europe and the United States — a signal that the specialty chemicals group intends to put its swelling cash pile to work rather than simply defend its independence. Claus Rettig told the FAZ that such opportunities exist, though he stressed the company is not actively pursuing transactions at present.

The remarks land at an awkward moment. Just over a week ago, BASF raised its offer to 24 euros per Evonik share. Evonik's supervisory board examined the proposal and found no basis for takeover negotiations, agreeing only to an informational, confidential exchange. Rettig has argued the company can deliver the value BASF dangles in front of shareholders on its own.

A Fair Value Stuck at 22 Euros

Not everyone is convinced. On Tuesday, DZ Bank cut Evonik from "Buy" to "Hold," leaving its fair value at 22 euros — below BASF's 24-euro bid. The broker pointed to limited room for a higher takeover premium and the risk that M&A speculation fades altogether. JPMorgan, meanwhile, lifted its target from 14 to 15 euros on Wednesday while keeping an "Underweight" rating. A third house raised its price target from 20.00 to 22.50 euros the same day, sticking with a hold recommendation.

The split among analysts frames the central question for investors: does Evonik's standalone story justify more than the market is currently paying, or does the stock need a deal to move higher?

Should investors sell immediately? Or is it worth buying Evonik?

Cash Flow Is the Standalone Case's Strongest Card

The numbers behind that argument have improved markedly. Free cash flow more than doubled to 601 million euros in the first nine months of 2026, giving management genuine financial room to manoeuvre. Adjusted EBITDA climbed 40% to 629 million euros in the third quarter. For the full year, Evonik is targeting the upper half of its guidance range of 2.0 to 2.2 billion euros, and it expects fourth-quarter earnings above the prior-year period.

Return on capital employed offers the yardstick by which any acquisition should be judged. Evonik is aiming for roughly 11% ROCE by 2029. This year it expects above 8%, up from 6.1% in the previous year. A large purchase would have to support that trajectory rather than strain it through heavy capital deployment — meaning the ratio of invested capital to incremental earnings matters more than the size of the target or its revenue contribution.

Price-Led Growth Cuts Both Ways

There is a caveat buried in the top line. Third-quarter sales rose 13%, but prices accounted for 10 percentage points of that gain while volumes added just 2%. Should pricing momentum cool without a pick-up in volumes, Evonik would be forced to justify extra capital spending on a less vigorous operating base — and an expensive earnings contribution could slow progress on returns.

Consensus estimates reflect that caution. The 2027 earnings-per-share forecast was nudged up only from 1.13 to 1.14 euros, suggesting the strong quarterly result has done little to reshape longer-term profit expectations. Until Evonik can demonstrate sustainably higher earnings or convincing terms on a deal, the case for a re-rating remains thin.

Essen Expansion and the Road Ahead

Alongside its quarterly report on Tuesday, Evonik announced a 52 million euro investment at its Essen-Goldschmidtstraße site. The new production facility and tank farm will expand capacity for organomodified silicones and bolster supply security.

Rettig's measured approach to M&A can be read charitably: the company is waiting for the right opportunity rather than rushing to spend. A selective acquisition that opens new earnings streams while preserving financial flexibility would strengthen the standalone case. The fourth quarter now becomes the operative test — confirm the guidance, and the financial foundation for any transaction looks sturdier; stumble, and any deal will face far tougher scrutiny on price and financing. What ultimately counts is not where or how large a target is, but what it adds to Evonik's value on its own.
