Healthineers Lines Up Board Overhaul, Olyrian Diagnostics Split and €300 Million Cost Buffer Ahead of 2027 Vote
Published on 11/08/2026 at 04:02 | Editorial boerse-global.deSiemens Healthineers is asking shareholders to reshape its supervisory board at the 2027 annual meeting, a vote that will run alongside the far larger question of whether the medical-technology group cuts its last corporate tie to Siemens.
The board proposed four new shareholder representatives on Wednesday: Melanie Kreis, Heyo Kroemer, Jonathan Lewin and Pascale Witz. Roland Busch is stepping down from his seat, and three further mandates expire. Because the proposal goes to the annual meeting, the seats are not yet filled. Ralf Thomas and Peter Körte, by contrast, have been put forward for re-election.
Two ballots, one decision
The separation and deconsolidation from Siemens will be tabled for approval at the shareholder meetings of both companies in February 2027, meaning investors in Healthineers and in Siemens each get a say. The group also intends to shorten its name to Healthineers, a rebranding that starts in 2027 and rolls out over three years.
Behind the corporate housekeeping sits a cost problem. Under the "Transform4 Future" productivity programme unveiled on Thursday, Healthineers aims to offset more than €300 million in costs from 2028 onward. The charges stem from the diagnostics carve-out, a sharper focus for the ultrasound business and the planned deconsolidation from Siemens.
Should investors sell immediately? Or is it worth buying Siemens Healthineers?
Diagnostics gets its own name — and its own savings target
The in-vitro diagnostics unit will trade as Olyrian Diagnostics. A carve-out is not the same as independence, however: the division stays inside the group during the transition, with mid-2028 the earliest point at which it could stand alone. Finance chief Jochen Schmitz has set an additional €400 million of savings in diagnostics as the route to mid-teens percentage margins over the medium term, according to media reports.
On the operating side, Healthineers is guiding for comparable revenue growth of 4.0–5.0% in fiscal 2027, with adjusted unadjusted earnings per share of €2.20–2.40. For fiscal 2026 it reported comparable revenue growth of 4.0% and adjusted unadjusted EPS of €2.42.
Buyback rolls on as Deutsche Bank stays on the fence
The share buyback continues in the meantime. A interim report published on Monday disclosed the purchase of 50,000 of the company's own shares between 26 October and 1 November 2026 inclusive.
Siemens Healthineers at a turning point? This analysis reveals what investors need to know now.
Deutsche Bank Research kept its "Hold" rating on the stock after the annual figures, according to media reports, with a price target of €39. Investors get their next formal update on 9 November 2026, when Healthineers holds a roadshow with JP Morgan in London.
