Marvell's Lumentum Math: Two Timetables, One Unresolved Earnings Question

Marvell Technology has told investors its proposed combination with Lumentum will lift adjusted earnings per share in the first year after closing. TD Cowen sees dilution instead. The two forecasts are not the head-on contradiction they first appear to be — they cover different periods — but neither does the company's optimism settle the doubts hanging over the transaction.

A calendar year versus a first year

The gap between the two views is largely a matter of timing. TD Cowen's dilution estimate applies to calendar 2028, where the brokerage expects adjusted EPS to fall by a mid-single-digit percentage. Marvell's guidance refers to the first year following completion. Comparing the two figures directly, as the market's first read did, muddles the arithmetic.

That distinction matters for how investors weigh the deal. It does not, on its own, validate the company's case. The promised earnings uplift rests entirely on how well the integration is executed — and on whether the cost savings materialize quickly enough to offset the effect of the extra shares.

What the deal actually costs

The takeover, agreed yesterday, is an all-stock affair. Lumentum holders are to receive 4,500 Marvell shares for each of their own, implying an enterprise value of $115 billion for Lumentum. Closing is expected in the first half of calendar 2028, subject to shareholder and regulatory approvals.

Should investors sell immediately? Or is it worth buying Marvell Technology?

Marvell puts the addressable market created by the combination at $550 billion and points to a path toward annual cost synergies of more than $1 billion. Both are opportunities on paper, not realized profits. A large addressable market says little about how much business will actually be won, and announced savings have to be delivered operationally before they say anything about the deal's economic quality.

Two banks, two sets of concerns

TD Cowen cut its rating from Buy to Hold and slashed its price target from $350 to $175. Alongside the expected EPS dilution, the firm flagged the structure and timing of the transaction and the risk that the optical technology cycle may be nearing a peak. If the business's earnings power comes under cyclical pressure, a convincing integration plan becomes more important, not less.

Bank of America moved in the same direction, downgrading Marvell from Buy to Neutral and cutting its target from $400 to $225. Its cited burdens were a potential share overhang and weakness in the semiconductor sector. Not every skeptical call is aimed squarely at Marvell's operating performance — transaction risk and business development deserve to be read side by side, but they should not be conflated.

Marvell Technology at a turning point? This analysis reveals what investors need to know now.

The operating picture holds steady

Against that backdrop, the core business offered no sign of straying from plan. Marvell reported preliminary third-quarter fiscal 2027 revenue in line with the midpoint of its prior guidance, narrowing the expected range from ±5% to ±2%. That points to a tighter revenue forecast, not automatically to better earnings. Final results remain subject to the quarterly close.

For shareholders, the decisive question is not the scale of the ambition but whether the combination genuinely improves earnings per share as advertised. Until the company's forecast and the analysts' expectations converge on that point, the promised value creation deserves a discount in confidence — not its presumption.
