Metallium's US subsidiary has given Traxys North America something it did not give back: exclusivity. Under a letter of intent announced today, Flash Metals USA may not discuss alternative partnerships in the agreed scope until 31 December 2026, while Traxys faces no matching restriction. What the arrangement does not carry is any binding commitment on volumes, prices, offtake, financing or investment.

That asymmetry is the crux of the deal for investors. Traxys gains time-limited exclusive access to the cooperation talks; Metallium, in the meantime, forgoes parallel negotiations within that framework. No obligation to sign follows from it, and no funding is secured. The non-binding framework itself runs until 30 November 2027 and can be terminated on 30 days' notice. No fees and no share issuances are attached to it.

What the two sides actually want to examine

The stated aim is to connect Metallium's Flash Joule Heating technology in Texas with procurement, marketing and trade finance for US critical-metals business. Flash Metals USA and Traxys North America intend to put priority feedstocks, products and processing costs under review first. Supply, offtake and financing terms still have to be negotiated.

The scope stretches from sourcing and toll processing for third parties to marketing and offtake. On top of that come price hedging, offtake-linked prepayments or working capital, and a possible strategic investment. Each of these instruments could address a different precondition for commercial rollout — but as of now they are items to be examined, not promised services.

Should investors sell immediately? Or is it worth buying Metallium?

For the economic read, that distinction matters. A technical processing angle is not a contract-backed business. Definitive agreements are only one piece; scaling and product qualification belong to commercial execution as well.

Eleven metals describe a search radius, not a sales book

The review covers eleven metal groups, among them magnetic rare earths, gallium, germanium, tungsten, copper and platinum group metals. That list marks the possible scope of investigation, not processing already in place across all of them. No production capacity and no sales can be derived from it for any single metal group.

More telling would be concrete arrangements on which feedstocks are to be processed and under what economic terms the output finds buyers. Equally, Traxys' standing as a supplier to Project Vault does not transfer to Metallium. The trading partner's position confers neither programme status of its own nor US state financing nor a purchase commitment. A possible collaboration and participation in a government programme remain separate matters.

Traxys reports annual revenue above US$10bn across more than 65 raw materials, and its sourcing, marketing and financing reach could complement Metallium's technical platform commercially. Whether it does is another question — one that only signed terms can answer.

The year-end deadline is a target, not a promise

Selected opportunities are meant to reach definitive agreements by 31 December 2026. That is an intended date, not a commitment to close. The next solid yardstick for valuation therefore sits in the terms of individual projects: only binding rules on processing, offtake or financing would clarify the economic questions still open.

Until then, Metallium faces a commercial execution task — turning a broad review framework into viable individual transactions. Risks around technology ramp-up and product qualification persist, and further equity needs remain a possibility. Today's announcement creates a negotiating framework; it does not evidence a funded commercial build-out.
