Nebius Stock: A 364-Day Credit Line, a 50-Megawatt Saudi Option, and the Delivery Question Neither Answers
Published on 10/29/2026 at 15:43 | Editorial boerse-global.deNebius investors holding through this week's headlines have been handed two very different kinds of news — and the gap between them is where the real analysis begins. One is a signed financing package. The other is a conditional option on future capacity. Neither says anything definitive about when revenue-generating compute actually comes online.
What Is Actually Committed
The firmer of the two announcements came roughly a week ago, when Nebius unveiled a $3.5 billion senior secured financing facility arranged by Citi, designed to underwrite its global capacity build-out. The 364-day term carries an initial rate of Term SOFR plus 2.75% per annum, with the spread rising to a maximum of 3.50% per annum subject to adjustments. Management has said the facility also provides flexibility on the timing and structure of further financings.
A separate, smaller piece of the funding picture: Nebius raised approximately EUR 250 million for its planned data center in the Lille area, according to L'Informé.
The Saudi side is far less binding. HUMAIN and DataVolt announced a preliminary framework agreement with Nebius covering up to 50 MW at the planned Oxagon AI campus in NEOM — half of the first 100 MW currently under construction. Capacity is meant to become available in stages starting in the fourth quarter of 2027. The framework is provisional, and the potential capacity uptake is not a confirmed offtake. Nothing in the announcement establishes Nebius capacity that exists today.
Should investors sell immediately? Or is it worth buying Nebius?
The Microsoft Signal
The distinction between willingness to invest and actual delivery sharpened after Microsoft's investment figures landed yesterday. The company reported quarterly capital expenditure including finance leases of $45.2 billion, against analyst expectations of $50.7 billion.
CNBC tied the shortfall to concerns about longer lead times for data center capacity, and Nebius along with other neocloud names came under pressure in after-hours trading on that report. The regular session had closed with Nebius up 2.1%.
Microsoft's numbers do not document a delay at any specific Nebius project. What they do is redirect attention to execution risk: financed or contracted capacity is not the same thing as available capacity. For anyone building a thesis on the expansion, project milestones now matter more than financing headlines.
Piper Sandler's Caution Flag
Valuation got its own nudge on October 21, when Piper Sandler's James Fish kept a "Neutral" rating on Nebius and trimmed the price target to $185 from $237. The cut is a cautious valuation signal rather than evidence of operational trouble — no specific rationale can be read into it. But it does demonstrate that a large build-out pipeline does not automatically justify a richer multiple.
Why the Calendar Matters More Than the Balance Sheet
The genuine counterargument sits in the mismatch between short-dated funding and long-horizon construction. A 364-day facility does not by itself neutralize the risks of a multi-year capacity ramp. If projects slip, financing questions could regain weight before new capacity arrives as planned. That is a risk scenario, not an observed delay.
Nebius at a turning point? This analysis reveals what investors need to know now.
Nor should the funding and the projects be mapped onto each other too neatly. Nothing in the Citi facility implies it is specifically bankrolling the Oxagon build-out. What counts for investors is not just the size of the available financing but how it interlocks with individual project commitments.
The constructive case would see capital and execution reinforce each other: money is in place while the projects hit their next delivery steps. Confirmation would come from further project disclosures that firm up and validate the intended schedule. A simple restatement of the planned megawatt figure, by contrast, would say little about when that capacity actually becomes usable.
The Catalyst to Watch
The next substantive trigger would be a concretization or advancement of the provisional Oxagon agreement, with the stated reference point remaining the staged capacity rollout from the fourth quarter of 2027. Until then, progress announcements should be judged on whether they make execution more tangible. That is precisely where financial prerequisites either turn into a credible expansion story — or stay a headline.
