Nebius Stock: Piper Sandler's Cut Target, a 50-Megawatt Oxagon Option, and the Prepayment Model Behind Both

Nebius shares fell 5.2% on Wednesday as investors weighed fresh concerns about how AI cloud providers will fund their buildouts — a worry sharpened by Piper Sandler's decision to trim its price target on the stock from $237 to $185 while keeping a "Neutral" rating.

Analyst James Fish, who issued the cut a day earlier, pointed to risks spanning AI compute demand, return on invested capital and financing across the AI cloud sector. His reassessment wasn't confined to Nebius: he lowered valuation multiples for AI cloud stocks broadly, arguing the group could stay under pressure until free cash flow improves or funding arrangements become clearer. Even so, Piper Sandler continues to recommend building positions gradually, with CoreWeave its preferred name.

The distinction matters for how the stock's slide should be read. Expansion announcements do not, on their own, answer the question of whether that growth pays. The lower target signals a more cautious valuation of those prospects — not a report that any specific Nebius financing has fallen through.

A Framework Agreement, Not a Capacity Guarantee

On the same day as the downgrade, Nebius unveiled plans that cut in the opposite direction. According to NEOM, the company signed a preliminary framework with HUMAIN and DataVolt on the sidelines of NVIDIA's GTC conference in Berlin to become an anchor customer at the planned Oxagon AI campus. The arrangement covers up to 50 megawatts, due to come online in phases starting in the fourth quarter of 2027, running on NVIDIA-based infrastructure.

Should investors sell immediately? Or is it worth buying Nebius?

The provisional nature of the deal is central. Nebius could take half of the first 100 megawatts now under construction — a slice of an initial phase planned at 360 megawatts overall. But the framework does not yet lock in use of the full intended capacity, and commercial operation sits well beyond the signing date. Turning the outline into binding capacity agreements, and funding that buildout, is what will determine its economic value.

How Existing Contracts Share the Capex Burden

Nebius's already-signed customer deals offer a window into its financing playbook. In the second quarter of 2026 the company reported four AI cloud contracts, each with an average total contract value above $1 billion. Roughly 70% of the business closed that quarter included prepayments, covering 50–60% of the associated capital expenditure — meaning Nebius does not have to carry the entire investment alone up front.

Timing complicates the picture. Much of the contracted capacity is set to become available around the end of 2026, while the bulk of the resulting contract revenue is not expected until the following year. That gap between signing, building and billing keeps financing of the interim period at the heart of the growth story. The prepayment terms say nothing about the conditions attached to the planned Oxagon project.

Nebius at a turning point? This analysis reveals what investors need to know now.

Spot Prices Target a Different Ledger

Alongside the capacity news, Nebius announced publicly visible live spot prices for GPU compute, giving customers a clearer view of their processing costs. The initiative addresses what clients pay to use the capacity — not the provider's return on capital. That gap between customer economics and investor economics is precisely where the analyst debate sits: Nebius is working on capacity and customer access, while the scrutiny concerns the financial terms underpinning that growth.
