Nel ASA has handed investors three announcements in quick succession, and they carry wildly different weight. One is a firm purchase order. One is a non-binding study agreement. The third is a leadership appointment that does not take effect for months. Sorting them by how binding each one actually is happens to be the most useful exercise available right now, because none of the three yet proves that the Norwegian hydrogen group has turned its business around.

The order book offers the strongest argument for optimism. Intake jumped 339% year on year to NOK 253 million in the third quarter of 2026, and the backlog at period-end stood at NOK 1.314 million, up 34% from a year earlier. That is a far larger base of committed business than Nel carried twelve months ago. What the backlog cannot do is pay the bills today. Revenue from customer contracts fell 63% to NOK 112 million over the same three months, a decline management pinned on lower activity in the alkaline segment.

A Firm Order, a Study, and a Handover

The clearest commercial commitment came roughly two weeks ago, when Nel Hydrogen US booked an order from an unnamed American global technology group. The package covers several containerised PEM electrolyser units plus associated services, carries a value of about USD 12 million, and is scheduled for delivery in 2027. Real money, real equipment — but revenue that lands next year, not this one.

The Rheinmetall agreement signed around the same time sits at the opposite end of the spectrum. The two companies intend to examine a collaboration on modular, decentralised production of synthetic fuels, combining Nel's electrolyser technology with Rheinmetall's Giga-PtX concept. Technical and economic feasibility, along with possible pilot projects, are all still to be assessed. The memorandum is explicitly non-binding, and any next step depends on joint evaluation and a further agreement. It is a door opened, not a sale booked.

Should investors sell immediately? Or is it worth buying Nel ASA?

Then there is the succession question. Nel named Morten Holum to succeed Håkon Volldal as chief executive, with a start date no later than 1 May 2027. Until then, the operational reins pass elsewhere: from 1 November 2026, finance chief Kjell Christian Bjørnsen takes the CEO role on an interim basis, while Torbjørn Berg steps in as interim finance chief. The decision has been made; the handover has not.

What the Losses Say About the Backlog

Profitability is where the gap between orders and results bites hardest. Nel reported EBITDA of NOK -93 million and a net loss of NOK -141 million for the third quarter of 2026. A swelling backlog offers no reassurance against numbers like those on its own. Even a rebound in revenue would not, by itself, demonstrate a durable improvement in earnings — that would require evidence that additional volume actually strengthens the bottom line.

The risk for shareholders is not that Nel stops winning orders. It is that the waiting continues: losses persisting while the larger order base remains a promise about the future rather than a feature of the present. A new chief executive cannot substitute a personnel decision for that operational proof.

Nel ASA at a turning point? This analysis reveals what investors need to know now.

What would change the picture? A quarter in which the order book stops running ahead of a shrinking realised business. Should Nel convert its backlog into rising revenue, the conversation shifts from the revenue collapse to the company's capacity to execute — a far stronger signal than another letter of intent without a binding order behind it. Further contract wins would help; on their own they would not settle the argument.

The calendar now provides the next fixed reference point. Bjørnsen takes over on an interim basis on 1 November 2026, and Holum is due to assume the top job by 1 May 2027 at the latest, per the company announcement published a little over a week ago. Those dates mark an organisational transition, not an economic turning point. The test for anyone weighing the shares stays the same: Nel has to show that stronger demand can be turned into revenue, and then into a healthier earnings profile. Fresh orders would support that case. They will not make it alone.
