OFX Shares Retreat as Takeover Certainty Slips and Trading Stays Tough
Published on 10/26/2026 at 14:22 | Editorial boerse-global.deOFX shares fell sharply on Friday after the company disclosed that the exclusivity framework governing its takeover discussions with Alakazam Holdings Bidco Limited — the owner of Equals Group Limited — has lapsed. The two sides are still talking, but the safety net of a formal process agreement is gone, and investors wasted little time repricing the stock.
At the centre of the selloff is the proposed consideration of A$1.00 per share. Alakazam, better known as Equals, was required to reaffirm that offer by Friday. No reaffirmation arrived, and the arrangement known as the Transaction Process Deed came to an end. The talks continue on a non-exclusive basis, and OFX stressed that there is no guarantee any transaction will materialise.
That distinction matters more than the headline numbers suggest. The end of the deed is not a confirmation of a sale, nor is it a definitive collapse of negotiations. What it does mean is that the A$1.00 price tag no longer rests on any binding commitment — a gap between talk and signed deal that has clearly rattled the market.
Quarterly Revenue Improves, Annual Trend Still Weak
Alongside the takeover update, OFX released a trading report for the second quarter of its 2027 financial year, posting net operating revenue of A$45.3 million. The figure represents a 3.1% gain on the immediately preceding quarter, offering a measure of sequential momentum.
Should investors sell immediately? Or is it worth buying OFX?
The year-on-year picture is less flattering. Revenue slipped 9.6% compared with the same period a year earlier, and OFX said trading conditions across fiscal 2027 had been more difficult than anticipated. The two yardsticks therefore tell different stories: a business stabilising quarter to quarter, yet still running behind its prior-year pace.
For shareholders, the two strands of Friday's announcement compound one another. The takeover carries less certainty now that the process deed has expired, while the underlying business, despite the sequential uptick, has yet to close the gap with last year's levels.
Cyber Incident Adds Another Layer
OFX also pointed to its October 15 update on a cyber incident, having begun notifying affected individuals. The information accessed included personal details and contact data, along with some information on transfers, recipients and communications. The company said it had found no access to customer accounts or funds, that copies of identity documents were not viewed, and that the compromised data could not be used to initiate payments through the platform.
OFX at a turning point? This analysis reveals what investors need to know now.
None of that, however, is what drove Friday's move. The stock's decline is being pinned on the fuzzier outlook for the takeover — talks that remain alive, but without a reaffirmed offer or a firm agreement in hand.
