Qiagen's €10.8 billion sale to EQT Private Equity is moving through its regulatory and legal paces, with the German diagnostics group filing the paperwork for the offer with the U.S. Securities and Exchange Commission on October 23. The Form 6-K submission bundles the joint press release with EQT, the ad-hoc announcement and the business combination agreement.

Law Firm Probes Board Conduct

One day before that filing, on October 22, the law firm Brodsky & Smith said it was examining potential claims against Qiagen's management board and supervisory board tied to the sale. Its review focuses in part on whether the sale process was fair and whether the offer price reflects adequate value.

The deal itself, agreed roughly a week before the SEC filing, would see Crown NL Bidco B.V. — a vehicle indirectly controlled by EQT XI — pay €46.50 in cash per Qiagen share. Both boards back the transaction unanimously and have agreed to recommend that shareholders tender their stock.

Should investors sell immediately? Or is it worth buying Qiagen?

Closing is targeted for mid-2027 and hinges on conditions including regulatory clearances and a minimum acceptance threshold of 50% of the shares plus one. The offer price carries a 40.3% premium to the unaffected price on July 8.

Sovereign Wealth Money in the Mix

Handelsblatt reports that subsidiaries of the Abu Dhabi Investment Authority and the Canada Pension Plan Investment Board are also participating in the bid. Reuters Breakingviews took a dim view of the terms in a column published last Thursday, arguing the proposed price offers shareholders only a marginal uplift over the rejected 2020 approach from Thermo Fisher Scientific. The commentary also flagged the investment challenge EQT would inherit at Qiagen.

Barclays Steps Back

Barclays cut its price target on Qiagen to $53 from $55 yesterday, according to media reports, and downgraded the stock to "Equal-Weight" from "Overweight." The report links the changes to the takeover agreement between Qiagen and the EQT-controlled bidder.

Guidance Pulled Ahead of Full Results

Alongside the deal documents, preliminary figures are already on the table. Qiagen reported net sales of $548 million for the third quarter of 2026 on October 21, with adjusted diluted earnings per share of $0.65. The company has suspended its full-year 2026 guidance while the EQT transaction remains outstanding and said it will not hold a conference call for the quarter. Complete third-quarter results are due on November 4, 2026.
