Qiagen's 46.50-Euro EQT Bid Sets a High Bar as Citi Recalibrates Its Target
Published on 10/27/2026 at 14:21 | Editorial boerse-global.deQiagen shares finished yesterday at 45.09 € — a shade below the 46.50 € per share that Crown NL Bidco B.V. has put on the table. The gap is a useful reminder that the market has yet to fully price in the voluntary cash offer agreed with EQT Private Equity roughly a week ago. The bid vehicle is indirectly controlled by the EQT XI fund, with Luxinva and CPP Investments participating as co-investors.
Citi, for its part, lifted its price target on the diagnostics group from 45 $ to 52 $, according to media reports, while keeping its rating at "Neutral." The revision follows the takeover agreement, though the offer period itself has not yet opened.
Board Backs the Deal, but the Clock Is Long
Qiagen's supervisory and management boards have thrown their weight behind the transaction unanimously and intend to recommend that shareholders tender their stock. Handelsblatt reported the same backing on Thursday, identifying affiliates of the Abu Dhabi Investment Authority and the Canada Pension Plan Investment Board among the co-investors. Closing is pencilled in for mid-2027, subject to a minimum acceptance threshold of 50% plus one share and the necessary regulatory clearances.

Q3 Headline Numbers, With Guidance on Hold
On October 21, Qiagen reported preliminary third-quarter 2026 net sales of 548 million $, alongside adjusted diluted earnings per share of 0.65 $. Both figures hold on a reported basis and at constant exchange rates. The company has suspended its full-year 2026 outlook while the EQT transaction runs its course. Full third-quarter results are scheduled for release on November 4, 2026.
SEC Filing Puts the Merger Contract on Record
Friday brought a mandatory 6-K submission to the U.S. Securities and Exchange Commission covering the planned acquisition. Attached to the filing are the joint press release, the ad-hoc announcement and the business combination agreement — meaning the paperwork now spans both the public statements and the contractual terms binding the parties.
Stake Disclosures Pile Up
Alongside the deal news, several investors published position disclosures. Bank of America revealed shareholdings as well as potential stakes via swaps and options, with a transaction date of October 20. BlackRock reported shares and contracts for difference dated October 21, and Millennium International Management disclosed shares, swaps and options for the same day.
