Red Cat has two clocks running at once. One is a quarterly reporting date set for November 16, 2026, when the company will release third-quarter results after the US market close, followed by a webinar at 4:30 p.m. ET. The other is a tender window that closes December 18, 2026 at 5:00 p.m. CET, the deadline for shareholders of Steyr Motors to accept Red Cat's voluntary cash offer. Between those two dates sits a product launch that has reached the orderable stage — and an analyst who just cut his price target.

Piper Sandler Trims Its Mark

On October 23, Piper Sandler analyst Clarke Jeffries lowered his price target on Red Cat from $9 to $6 while keeping a "Neutral" rating, according to media reports. The distinction matters: the move was a target cut, not a downgrade of the investment call. Even so, it offers no positive counterweight to the company's expansion plans, leaving valuation and operational announcements pulling in different directions.

Vessels Move From Concept to Order Book

A day earlier, on October 22, Red Cat introduced its Blue Ops B-Series portfolio of unmanned surface vessels. The B-18 and B-39 models are now available to order, and small-series production of the larger B-39 is already underway.

That goes beyond a pure product announcement — orderability and an active production line are concrete commercialization steps. What the release does not contain is any statement on revenue generated from these vessels, or on customer orders actually received. The two models also reflect different stages of maturity within the same portfolio: both can be ordered, but only the B-39 carries explicit confirmation of small-series manufacturing. Availability alone therefore says little about a uniform production status across the lineup.

Should investors sell immediately? Or is it worth buying Red Cat?

The Steyr Offer: Signed, Sealed, Not Closed

Roughly two weeks before the analyst note, Red Cat announced a voluntary public cash offer for all outstanding shares of Steyr Motors at EUR 39.00 per share, covering all 5,251,261 Steyr shares. The bid is formalized through a business combination agreement between Steyr Motors and SMOT Acquisition GmbH, a wholly owned Red Cat subsidiary.

Completion remains conditional. The offer is subject to regulatory approvals and requires a minimum acceptance threshold of 50% plus one share. A signed agreement is not a closed acquisition, and the offer terms — not the announcement — remain the operative benchmark for now.

What Investors Should Separate

Two layers deserve distinct treatment. The product and acquisition plans describe where Red Cat wants to go; the quarterly report will show how the business actually performed in the period. Management is also taking that story on the road, with CEO Jeff Thompson and CFO Christian Morrison scheduled to appear at investor conferences.

Until the November 16 release, announcements about orderable vessels and a pending tender describe strategic direction — they do not substitute for reported results. Keeping product availability, acquisition intent and economic performance apart is what allows a sober read on the expansion, without booking headlines as business success.
