Steyr Motors Puts a Drone Battery Charger and a €39 Buyout in the Same Shop Window
Published on 10/24/2026 at 17:02 | Editorial boerse-global.deSteyr Motors shareholders have two yardsticks to work with this week, and neither one settles the other's question. One is the voluntary €39.00-per-share cash offer from Red Cat, now formally open for acceptance. The other is a set of third-quarter figures and a field trial that put the company's hardware in the air. Operational proof and ownership change are being reported side by side, but they answer to separate tests.
The tender window is open, the deal is not done
Red Cat's wholly owned subsidiary SMOT Acquisition GmbH began the acceptance period yesterday. Holders have until 18 December 2026 at 17:00 CET to tender. B&C Holding Ă–sterreich has committed to offer its roughly 15% stake, a pledge that helps the bid along without clearing the bar on its own.
Completion still hinges on regulatory clearances and a minimum acceptance threshold of 50% plus one share. That distinction matters: a promised tender is not a completed purchase, and the start of the clock is not the finish line. Shareholders can decide whether to accept; whether the change of control actually happens depends on how many follow them and on the regulators.
The merger agreement, signed on Wednesday, adds commitments that speak to the Steyr site and its workforce rather than to the offer price. Red Cat has promised to protect the location for three years from completion, alongside a two-year waiver on redundancies among workers initiated by Red Cat. These are meaningful assurances for employees and the region. They say nothing about whether the company hits its margin targets or turns the Avilus cooperation into revenue.
Should investors sell immediately? Or is it worth buying Steyr Motors?
A battery that recharges mid-flight
The more instructive test, arguably, came on 16 October, when Steyr Motors and Avilus reported successful trials of their work on the energy supply for the Grille unmanned aerial system. The M12 Power Unit is designed to charge a second battery set during flight. Steyr reported the trials held up in flight tests and Bundeswehr exercises.
That is more than a memorandum of intent. A reported deployment gives the partnership a practical footing, and for investors the value of the news lies there: not in a hypothetical application, but in hardware already put through its paces. Extrapolating a material contribution to earnings from it would be premature, though. Working technology and commercial success are separated by a long stretch of evidence, and the gap between the two is where expectations tend to run ahead of results.
The quarter is green, the nine months are not
Thursday's numbers provide the sober counterweight. Steyr Motors posted group revenue of EUR 12.5 Mio for the third quarter of 2026, up 11.2% on the same period a year earlier. Management pointed to KNDS call-offs and orders under the Navy SEALs tender as the drivers, so the increase rests on concrete orders rather than on hope.
Adjusted EBIT for the quarter came in at EUR 1.4 Mio. Over the first nine months of 2026, however, EBIT stood at EUR -0.7 Mio. The two figures are not the same kind of measure — an adjusted quarterly number and an unadjusted figure for a longer reporting period cannot be set against each other directly. A positive quarter on its own therefore does not describe the full earnings picture, and the negative nine-month result carries more weight than a narrative built solely on technical milestones.
Guidance holds, and so does the burden of proof
The board reaffirmed on Thursday its expectation of 15% to 25% revenue growth for 2026, together with an EBIT margin of 8% to 12%. Both remain forecasts rather than achieved results. Beyond growth, the decisive question is how reliably the top line converts into profit, and whether management's confidence shows up in the actual figures.
Steyr Motors at a turning point? This analysis reveals what investors need to know now.
For investors the view splits cleanly in two. On the operating side, Steyr Motors has to deliver on its full-year targets. On the deal side, everything turns on the acceptance ratio and the regulatory sign-offs. Progress on one front does not pre-empt the conditions on the other.
The stronger story here would not be a successful change of ownership alone. It would be proof that tested applications can carry earnings over time — and that is the standard against which the optimism should be measured.
