Thyssenkrupp Hands Shareholders 49% of tk accelis as October Listing Takes Shape
Published on 10/22/2026 at 05:51 | Editorial boerse-global.deThyssenkrupp shares climbed 2.7% after the industrial group firmed up the timetable for listing its materials trading unit, tk accelis, with the first day of trading set for 28 October in the Prime Standard of the Frankfurt exchange. The announcement gave the stock a possible catalyst for the advance, and Reuters reported that the German financial regulator BaFin has already approved the securities prospectus.
Under the separation plan published a day earlier, existing Thyssenkrupp investors will receive one tk accelis share for every 20 Thyssenkrupp shares they hold. The allocation comes through a spin-off rather than an initial public offering for cash, meaning shareholders pick up the new stake by virtue of the stock they already own.
Majority Stays With the Parent
The structure stops well short of a full exit. Thyssenkrupp will keep 51% of the business through a new holding company, leaving the group as majority owner even as tk accelis trades under its own ticker. A separate share price therefore does not signal that the parent is giving up control of the materials unit — listing and ownership are two distinct questions here.
What changes for investors is the shape of their exposure. Alongside their Thyssenkrupp stock, they will hold a separately tradable stake in the spun-off company, while the majority position remains part of the group's structure.
Should investors sell immediately? Or is it worth buying Thyssenkrupp?
Entitlement is tied to shareholdings on the date the spin-off takes effect, currently earmarked for 27 October. That date remains a plan, not a completed transaction. Because not every portfolio divides cleanly into the 20-to-1 ratio, fractional entitlements will be sold and the proceeds paid out to the affected shareholders — a detail that matters most to holders whose positions do not produce a whole number of shares.
Prospectus Cleared, First Trade Pending
The approval of the prospectus and the first quotation are separate milestones on the road to a standalone listing. The debut is scheduled for 28 October, one day after the planned effective date, and forms part of Thyssenkrupp's repositioning as a financial holding under its ACES 2030 programme.
Away from the spin-off, Morgan Stanley disclosed on 15 October a reduced voting position in Thyssenkrupp, which fell from 5.84% to 3.79% overall. The notification covers both voting rights attached to shares and positions held through instruments. It concerns the ownership picture at the parent and is separate from the allocation of tk accelis shares to existing Thyssenkrupp holders.
Once trading begins, a roadshow in London is scheduled for 4 November, with publication of the 2025/2026 annual report set for 8 December. For shareholders, the immediate focus is execution of the listing and the share distribution; the annual report is the next named date on the group's financial calendar.
