Thyssenkrupp: Morgan Stanley's Reduced Stake, a 51% Grip on tk accelis, and JPMorgan's Cautious 17-Euro Call
Published on 10/24/2026 at 13:01 | Editorial boerse-global.deMorgan Stanley now holds 3.79% of Thyssenkrupp's voting rights and voting-related instruments, down from 5.84% previously, according to a filing published Wednesday following a threshold touch on 15 October. The combined figure bundles actual voting rights with equivalent instruments, so it does not map directly onto a plain equity stake — and it says nothing about how the industrial group itself is trading.
That distinction matters because the stock closed yesterday at €13.57, weaker on the day. Proximity on the calendar is not causation: the disclosure describes a shift in one investor's positioning, while the share price move is a separate event, and neither should be read as a verdict on operations.
A spinoff with a retained majority
Far more consequential for the equity story is the planned carve-out of tk accelis. Thyssenkrupp intends to spin off 49% of the unit while keeping 51%, pairing a direct share allocation to investors with a continuing majority stake for the parent. The distribution ratio is one tk accelis share for every 20 Thyssenkrupp shares, with entitlement tied to holdings as of 27 October 2026.
The first trading day in the Prime Standard of the Frankfurt stock exchange is scheduled for 28 October 2026. BaFin has already approved the prospectus, leaving the separation and the listing debut as announced steps still to be executed. For shareholders, that calendar provides a fixed reference point — but a new ownership structure is not the same thing as improved earnings, and a listing can make the value of individual holdings easier to read without guaranteeing any profit uplift.
Should investors sell immediately? Or is it worth buying Thyssenkrupp?
JPMorgan lifts its target, keeps its distance
Analyst commentary has reinforced that gap between structural progress and near-term results. In a note published on 15 October, JPMorgan raised its price target on Thyssenkrupp from €15 to €17 while leaving the rating at "Neutral." Dominic O'Kane pointed to possible steel price increases and an expected acceleration in earnings in 2027, yet saw limited room for positive earnings surprises ahead of the upcoming quarterly reports.
The combination deserves more weight than the target increase alone. A brighter outlook and a restrained rating are not contradictory — they signal that the company could develop better without beating expectations in the short run. Investors who fixate on the higher target overlook that caveat. The stock's 46% gain since the start of the year sharpens the question of whether coming figures can actually back the hopes for better results; possible steel price increases and an earnings acceleration both remain expectations rather than realized contributions.
Inovance pact opens doors, not order books
The same logic applies to the automotive division's memorandum of understanding with Inovance Automotive covering steer-by-wire, initially focused on China with other international markets envisaged down the road. Such an agreement creates options, but it is not equivalent to a group-wide order, and it would be premature to derive concrete additional revenue from it. Strategic intent merits attention; in a valuation, it should not carry the same weight as demonstrated business success.
The earnings report as the real arbiter
A separate date now looms for the financial verdict: the publication of the 2025/2026 annual report on 8 December. Keeping the threads apart is essential — a voting rights notification describes investor positions, the spinoff reshapes the ownership map, and how the business has actually performed is the subject of the financial statements. None of these substitutes for another. Thyssenkrupp is executing structural steps and working on technological partnerships, which argues against a blanket negative view. For a convincingly positive one, the evidence still has to come from results rather than from the number of transformation projects.
