Thyssenkrupp: Two Buy Ratings, Two Lower Targets, and a Steel Unit Still Waiting Its Turn

Thyssenkrupp shares fell 17% on paper, but adjusted for the tk accelis carve-out the decline is just over 8%. Analysts kept buy ratings while trimming targets.

A 17% headline decline in Thyssenkrupp shares is not the verdict on the conglomerate's restructuring that it first appears to be. Strip out the arithmetic of the tk accelis carve-out, and roughly 8% of the drop remains — a real decline, but a far smaller one than the raw print suggests.

The distinction matters because the spin-off mechanically reshaped what a Thyssenkrupp share represents. Investors received one tk accelis share for every 20 Thyssenkrupp shares they held, and the parent's price was adjusted to reflect the value transferred out. Anyone reading only the Thyssenkrupp quote is therefore looking at a company that no longer bundles the materials business inside its own market value. On a basis adjusted for the distribution, dpa-AFX put the residual decline at just over 8%.

Thyssenkrupp handed 49% of tk accelis to existing shareholders and kept 51%. The materials unit now trades under its own listing, but the parent has not walked away from it — the majority stake stays on the books, and the spin-off's performance will keep feeding into how the rump Thyssenkrupp is valued. The isolated share price alone cannot capture the full picture for existing holders, who now own the distributed stock directly alongside their continuing exposure through the parent.

Analysts Keep the Faith, Trim the Math

Two research houses reaffirmed their buy calls on the same day, each with a lower price target. DZ Bank's Dirk Schlamp cut his fair value to €15 from €16 while maintaining "Kaufen." Deutsche Bank Research's Bastian Synagowitz went to €17 from €18, explicitly tying the revision to his valuation model's adjustment for the completed tk accelis separation.

Should investors sell immediately? Or is it worth buying Thyssenkrupp?

Neither downgrade should be read as a fresh deterioration in the operating business. At Deutsche Bank, the driver is the changed group structure itself. The lower targets reflect recalibrated arithmetic, not lost confidence — a nuance easily missed by anyone scanning only the headline numbers.

Schlamp's note, though, carries a pointed caveat. He described the spin-off of Steel Europe as the bigger challenge still to come, even as he welcomed the tk accelis listing as the next transformation milestone. Progress on the group's overhaul, in his framing, is not the same thing as a completed operational reset. The buy recommendation is not an all-clear for every part of the conglomerate.

The Steel Question Comes Into Focus

That caution lands against a Reuters report that CEO Miguel LĂłpez is weighing a similar separation for the steel division. A sale is not on the table for now. LĂłpez pointed to failed attempts to bring partners in, with talks involving Jindal Steel previously put on ice.

Thyssenkrupp at a turning point? This analysis reveals what investors need to know now.

The steel deliberations are a separate matter from the accelis distribution already executed, but they sharpen the same theme: Thyssenkrupp's medium-term goal is to become a financial holding, and listing subsidiaries independently is central to that strategy. Whether the overhaul convinces will hinge not only on completed structural moves but on how the remaining businesses and holdings perform.

For investors, the picture splits into two layers — the shares distributed directly and the majority stake that remains inside Thyssenkrupp. Value is being shifted into separately listed companies; the economic link is not being severed automatically. The confirmed buy ratings speak to analysts' confidence, while the trimmed valuations and the larger steel hurdle ahead keep that confidence in check.
