Tilray's Insider Buys Land in the Crossfire Between Record Sales and Missed Estimates

Two of Tilray Brands' top executives just put their own money where their mouths are — but the timing couldn't be more telling. Chief Financial Officer Carl Merton picked up 10,000 shares on Tuesday at an average price of $4.62, a $46,200 outlay, while Chief Strategy Officer Denise Faltischek had snapped up 2,500 shares a day earlier at $4.78, lifting her direct stake to 141,285 shares. Both transactions were filed with the SEC on Form 4s.
The insider activity lands in the middle of a decidedly mixed earnings narrative. Tilray closed its fiscal year ended May 31, 2026 with record revenue of $915.5 million — an 11% jump from the prior year — and trimmed its net loss to $105.2 million. The balance sheet also looks healthier than it has in years: net debt has been whittled down to just $0.7 million, against roughly $235 million in cash and marketable securities. Management is guiding to adjusted EBITDA of $68 million to $75 million for fiscal 2027.
So why did the stock take a hit on the numbers? The culprit is the fourth quarter. Revenue of $281.71 million blew past the consensus estimate of $246.30 million, but the bottom line told a different story: a loss of $0.43 per share versus the $0.01 deficit analysts had penciled in. That earnings miss — not the top-line beat — set the tone for the trading session. On the Toronto Stock Exchange, shares closed at C$6.23, down 4.59%, while the Nasdaq-listed stock settled at $4.43 with similar losses in the low-to-mid single digits. The company's market capitalization now stands at roughly €533.41 million, a figure that underscores just how far cannabis equities have fallen from their highs.
Wall Street's response to the report has been anything but uniform. TD Securities upgraded the stock from "Buy" to "Strong Buy" on August 1, while TD Cowen simultaneously trimmed its price target to $5, arguing the record sales don't yet justify a re-rating. The broader analyst consensus has drifted lower as well — the average target now sits at $8.47, down 11% from the previous $9.55, though the range of opinions remains wide. One camp sees the operational progress; the other remains fixated on the path to sustained profitability.
Should investors sell immediately? Or is it worth buying Tilray?
The stock's recent trajectory reflects that tension. Over the past seven days, shares have still managed a 5.77% gain despite Wednesday's pullback, and the insider purchases could be read as a signal that management sees value at current levels. But with the company still burning cash and the market demanding proof of durable earnings power, the buys may be more of a statement of conviction than a catalyst.
Beyond the financials, Tilray continues to push its diversification strategy. The company recently launched ZONNA, a smoke-free line of THC pouches, while its Revolver Beer and Spirits subsidiary introduced a new spirits range — whiskey, gin, and vodka — in Texas. BrewDog, the brewery arm, kicked off a £1 million promotion targeting football fans across the UK and Ireland in mid-July. The product pipeline is active, even as the core cannabis business remains the focus of investor scrutiny.
Regulatory developments could shift the picture. The DEA's potential rescheduling of marijuana to Schedule III remains a key watch item for the entire sector, with a deadline of August 17 for parties to file supplemental briefs and corrections following the hearing. A favorable outcome could meaningfully alter valuations across US cannabis names.
Tilray at a turning point? This analysis reveals what investors need to know now.
Investors now have their eyes on October 8, when Tilray is scheduled to report fiscal first-quarter results. By then, the question will be whether Merton's and Faltischek's purchases look like prescient bets or merely symbolic gestures — and whether the gap between revenue growth and earnings quality finally starts to close.
