A One-Yuan Exercise Price Raises Eyebrows
The incentive scheme would reserve as much as 10 percent of issued shares — roughly 50.34 million H-shares — for employee participation. Eligible participants include directors (excluding independent non-executive directors), senior management, and other group employees. Vesting is tied to performance targets, and a clawback mechanism has been built in, though the board has yet to finalize the vesting schedule.
On the surface, such a low exercise price reads as a significant dilution risk for existing shareholders. Ubtech, however, has deliberately linked the program to performance criteria — a signal that management prioritizes talent retention during a growth-critical phase over near-term capital conservation.
The credit facility, meanwhile, would be syndicated across ten banks, including the Shanghai Pudong Development Bank and the Export-Import Bank of China. Shareholders will also vote on amending the use of proceeds from an earlier placement and on granting corresponding authority to the board. In total, two ordinary and two extraordinary resolutions are on the agenda.
Share registration will be suspended from August 21 through August 26, with only shareholders on the register as of August 26 eligible to vote.
Delivery Momentum and Industrial Traction
While the financing package moves through corporate governance channels, Ubtech continues to build evidence of commercial viability. The company ranked fourth globally among humanoid robot manufacturers by delivery volume in the first half of 2026, with approximately 700 units shipped — driven primarily by its bipedal Walker series.
The technology is increasingly moving beyond laboratory settings. The Chinese government has deployed Walker S2 units at a border crossing between China and Vietnam for operational tasks. Airbus, meanwhile, is running pilot trials in aircraft assembly, evaluating how autonomously the Walker S2 can perform battery changes and navigate the confined spaces of fuselage structures. Beyond the industrial sector, Ubtech is turning its attention to end consumers. The new "U1" series — ultra-bionic companion robots — had attracted 13,361 pre-orders by the end of June. Deliveries of the Lite, Pro, and Ultra models to consumers are scheduled to begin September 16.
Analysts responded positively to the outlook in late July, raising the full-year 2026 revenue forecast by 27 percent to 3.69 billion yuan. Expectations also point to a narrower loss per share of 0.665 yuan. Market observers reaffirmed their stance on the stock with a price target of HK$154.00.
Governance Adjustments and Competitive Pressures
The operational push is accompanied by internal governance changes. Head of Legal Zhou Wen said in an interview that a dedicated legal compliance protocol has been implemented to ensure Ubtech meets the Hong Kong Stock Exchange's strict disclosure obligations despite rapid technological iteration. The company also reported unchanged authorized share capital of 418,212,412 shares for July.
Competition in China's humanoid robotics space remains fierce. Reports indicate BYD is preparing a first public appearance for its self-developed humanoid robot "Xiao Di" in early August, and media coverage has noted recent volatility in humanoid-robot-themed stocks, with Ubtech shares retreating on that trading day.
Stock Remains Under Pressure
The equity itself continues to trade with a nervous tone. On Tuesday, the stock closed at 9.86 euros, down 1.81 percent from the prior session — though one market snapshot showed a steeper single-day decline of 3.13 percent to 9.73 euros, reflecting intraday volatility. Over 30 days, the shares have gained 8.37 percent, but they remain down 31.50 percent year-to-date. The 52-week high of 17.00 euros, set in January, stands 41.98 percent above the current price.
