UPM-Kymmene Insider Purchase Masks Underlying Earnings Pressure
Published on 11/08/2026 at 05:02 | Editorial boerse-global.deA modest insider transaction at UPM-Kymmene has drawn attention away from the Finnish forestry group's more consequential challenges: a shrinking comparable result, a regulatory gauntlet in Brussels, and a portfolio reshuffle that hands its plywood operations to a separate listed entity.
Mika Kekki acquired 172 UPM shares on 29 October at EUR 22.60 apiece under the employee share savings programme, according to media reports. The purchase is small in scale but lands at a moment when investors are weighing the company's earnings trajectory against the uncertain payoff of its planned graphic papers joint venture with Sappi.
Third-Quarter Softness Tied to Destocking
Comparable operating profit from continuing operations slipped to EUR 131 million in the third quarter of 2026, down 8% from EUR 142 million a year earlier. Revenue edged lower to EUR 2.2 billion from EUR 2.23 billion. Management attributed the decline to reduced deliveries caused by customer inventory drawdowns and to higher variable costs.
The cash picture offered some counterweight. UPM generated operating cash flow of EUR 420 million in the quarter, helped by working capital measures — a buffer that could prove useful if the company needs to fund the energy and efficiency investments tied to its joint-venture commitments.
Should investors sell immediately? Or is it worth buying Upm-Kymmene?
Brussels Extends Its Deadline
UPM and Sappi have submitted proposed remedies to the European Commission for their planned graphic papers combination. The package includes European capacity commitments, customer safeguards and decarbonisation measures, alongside investments in electrification and energy efficiency. No plant divestitures were announced, leaving the emphasis on operating commitments for the future business.
Reuters reported that the Commission extended its review period following the submission. The next firm date on the calendar is 8 January 2027, by which point investors will know which obligations would actually apply and whether approval is granted. Earlier expectations had pointed to a decision around year-end or shortly after.
Guidance Holds, but the Bar Is High
For the second half of 2026, UPM reiterated on 28 October a forecast of comparable EBIT from continuing operations between EUR 375 million and EUR 575 million. That range — a projection, not a realised figure — now serves as the key financial yardstick for coming reports.
The bull case rests on two interlocking developments: a stabilising core business and a joint-venture structure that preserves enough economic room to manoeuvre. Easing customer destocking and a green light on workable terms, combined with efficiency measures gaining traction, would shore up the earnings base and support a more favourable valuation.
The bear argument runs in the opposite direction. Capacity commitments and customer protections could constrain the venture's flexibility depending on their final shape, while the planned energy investments have yet to prove themselves commercially. Should destocking persist and variable costs stay elevated, earnings would face continued pressure — and a regulatory clearance would be worth less than it would against recovering demand. The least welcome combination for shareholders would be onerous approval conditions paired with weaker operations.

Plywood Spinoff and a Refreshed Product Line
Separately, UPM registered roughly two weeks ago the partial demerger transferring its plywood business to WISA Group. UPM shareholders were to receive WISA shares in consideration, with trading on Nasdaq Helsinki scheduled to begin on 2 November. The company has also refreshed its digital printing paper range, covering coated and uncoated grades as well as book papers, in both sheet and reel form.
For now, the investment case hinges on whether the strong cash generation and the prospect of an approvable venture structure can translate into a durable earnings outlook — or whether operating strain and the final terms out of Brussels will erode that confidence before the January deadline arrives.
