VÄr Energi Shareholders Face November Dividend Vote as Output Woes and BlueNord Deal Loom
Published on 10/29/2026 at 14:31 | Editorial boerse-global.deVÄr Energi has put a 400 million USD third-quarter dividend in front of its owners, but the payout cannot go out until an extraordinary general meeting gives it the green light. The vote is scheduled for 11 November, with a proposed 1.368 NOK per share, an ex-date of 17 November and payment earmarked for 25 November. A matching 400 million USD has been pencilled in for the fourth quarter, though that figure is a forecast rather than an approved disbursement.
For the full year 2026, the Norwegian oil and gas producer is targeting total shareholder distributions of 1.45 billion USD, up from 1.2 billion USD a year earlier. The beefed-up payout rests on a business that generated 1.5 billion USD of operating cash flow after tax, as reported on 21 October, while carrying net debt of 3.1 billion USD.
Earnings Beat the Prior Year but Miss the Street
Third-quarter 2026 operating profit came in at 2.21 billion USD, more than double the 1.1 billion USD booked a year earlier. The advance still fell short of the 2.26 billion USD average analysts had forecast. Revenue for the period reached 3,566.5 million USD, with net income of 303.7 million USD.
Output told a more mixed story. Production averaged 369,000 barrels of oil equivalent per day in the quarter. For the full year, the company now expects roughly 390,000 barrels of oil equivalent per day â the bottom end of its earlier guidance range. VĂ„r Energi pointed to operational trouble at Johan Castberg and the Jotun FPSO, along with production irregularities in the Ă sgard area, as the culprits.

A Gas Find and a Pending Merger
Exploration offered some offset. On 19 October, VÄr Energi and Equinor confirmed gas and condensate at the Lakris prospect, with preliminary recoverable resources estimated at between 1.3 and 5.5 million barrels of oil equivalent. The discovery is an early-stage estimate rather than producing volumes.
Separately, the planned merger with BlueNord remains on track for completion around the turn of the year, BlueNord said, though regulatory and government approvals are still outstanding. The combination is therefore a possible next milestone rather than a done deal.
Analysts Split on Direction
Research calls have pulled in opposite directions. Danske Bank cut VÄr Energi to Sell from Hold on 23 October with a 47 NOK price target. RBC went the other way on the numbers, lifting its target to 60 NOK from 55 NOK on 22 October, while keeping its rating at a sector-performer level. A higher target, in other words, did not come with an upgrade.
Var Energi ASA at a turning point? This analysis reveals what investors need to know now.
The shares added 2.3% in the prior session, a move that cannot be tied to any single item on the corporate calendar. Weighing it all up, investors are left with a company that is lifting cash returns even as production setbacks and an unfinished merger keep the outlook conditional.
