Volatus Aerospace: A Lithuanian Sensor Deal Closed in Shares, a US$2.5 Million Earn-out, and a Buy Call Reaffirmed
Published on 10/29/2026 at 15:32 | Editorial boerse-global.deVolatus Aerospace has wrapped up its purchase of AISPECO UAB, and the structure of the consideration tells most of the story. The fixed portion of the price consists of US$3.0 million in cash alongside Volatus common stock, and the agreement also carries stock-based compensation rights. Announced roughly two weeks before closing, the deal for all outstanding shares of the Lithuanian target was first disclosed on 14 October.
The equity component came to 17,434,193 Volatus common shares, valued at C$0,5813 apiece, plus 1,859,804 restricted share units. Layered on top is a contingent consideration of up to US$2.5 million payable over three years if agreed milestones are met. Volatus holds the discretion to settle that earn-out in cash or in shares, so it should not be read as money already paid out.
What the Baltic purchase brings inside the group
AISPECO adds airborne sensor systems and flight-management software to Volatus's capabilities, along with a European development and manufacturing base that stays in Lithuania. Technology and production capacity therefore both come into the fold. Whether AISPECO sensors will be integrated into Volatus's tactical reconnaissance drones for the Canadian armed forces is a question the company has not addressed publicly, according to media reports.
Should investors sell immediately? Or is it worth buying Volatus Aerospace?
On the numbers, AISPECO generated revenue of about C$5.72 million in fiscal 2025. Volatus has put forward a fiscal 2027 revenue target of roughly C$10 million, with an expected adjusted EBITDA margin of 8%–12% before synergies. Those figures are projections rather than reported results.
A NATO delivery and a reiterated rating
Separately, a first fleet of uncrewed aircraft has been delivered to a NATO partner, with media reports indicating the drones are used for training in reconnaissance and surveillance. The customer has placed further orders under the existing contract.
ATB Cormark Capital Markets reaffirmed its buy recommendation on Volatus on 21 October, keeping a price target of C$1.00, according to media reports. The move was a confirmed rating rather than a fresh upgrade.
Shares edged up 0.2% on the day. The modest gain follows media coverage of a price decline tied to the closing announcement, though that report has not been established as the sole cause.
